Live2D Terms of Service
//GeneralThe Client agrees to the following:That they are of legal age and assumes full responsibility for any money exchanged for this service.They hold the usage rights to any reference materials or designs provided to the Illustrator for use to produce the Work.They have read and understood these terms, as well as any terms or policies for the platforms they intend to use Work on.✦ Deliverables. Client will receive the fully cut PSD file to be used by the rigger and a transparent png. No physical goods will be shipped.✦ Illustrator's right to refusal. The Illustrator reserves the right to refuse or discontinue a commission under abnormal circumstances. Upon the latter the client will be refunded. (Detailed in a later segment)✦Illustrator's right to authorship credit. The Illustrator may use Work in Illustrator's portfolio (including, but not limited to, any website or social media platform that displays Illustrator's works). During the duration of the asset usage, authorship credit in the Alias (Chandeluka) or social media handle of the Illustrator shall accompany the Work on the Client’s Twitch or Youtube About section, or on their website.✦ Artwork. Illustrator agrees to not claim the creation of the concept/design provided for the creation of Work. Unless said Illustrator produces the concept/design for the Character provided//Payments✦ Payment. Client agrees to pay the Illustrator within ten (10) days of Illustrator’s billing. Overdue payments shall be subject to interest charges of one (1%) percent monthly and may be subject to cancellation at Illustrator’s discretion. Any finished Work shall be withheld until the full payment has been delivered.✦ Payment plan. Upon request, the Client may request a payment plan where the payment is split at minimum fifty (50%) percent as an advance of the total fee, then the remaining fifty (50%) percent at an agreed point of time.✦ Rush fee. If Client has a deadline within 2 months from the estimated project started date, a rush fee of a hundred (100%) percent shall be paid, and the requested add-ons will be capped to keep the project scope manageable.//REVISIONS✦ Two modifications can be made per stage (Sketch, Flats, Render). Additional modifications will procure extra fees.Deadlines and Delivery✦ This is a digital product. No physical copies will be sent.
✦ After the files are sent, the commission is complete. You may not ask for changes to the illustration after the fact, unless it's for a fixable technical issue.
✦Giving feedback/asking for revisions is the Client responsibility; if there is no feedback within 1 Month of a WIP being sent, you understand that you are missing the revision period, and the Artist will be moving on with the Commission.If another month passes the commission will be cancelled with no refund. (In the latter case, the commission can be picked up again if I am contacted regarding it after. However you will be placed at the bottom of the current waitlist at that time.)You are free to reach out and ask questions, or inquire about the progress of your commission at any time. For business-related inquiries I will respond at the latest a week later depending on how busy I am.USE✦ Grants of right. Upon receipt of full payment, the Illustrator grants to the Client Individual Commercial Usage Use Rights, which allows Client to gain revenue through the usage of the model that is NOT reselling, or redistributing the Work. Client agrees to not claim the creation of the Work as their own, and agrees that no version of the Work shall be used as a Non Fungible Token (NFT) or in AI datasets in perpetuity.✦ Additional usage. If Client wishes to make additional use of the Work outside of the initial agreement, Client agrees to seek permission from Illustrator and make such payments as are agreed to between parties at that time.✦ Sharing policy. Illustrator reserves the right to publicly stream the art process, and post Works in Progress (W.I.P.s) to Illustrator’s Social media, unless Client pays a Non disclosure agreement fee (NDA) of forty (40%) percent.✦ NDA. Upon the payment of NDA fee, Illustrator agrees to not disclose the project’s creation verbally, nor stream or post WIPs in a public setting until Client has publicized the finished Work at their discretion.✦ Reservation of rights. All rights to the Work done for the Live2D Artwork not expressly granted hereunder are reserved to the Illustrator, Including but not limited to all rights in mock ups, or other preliminary materials. Illustrator will not seek to re-purpose the Work unless the Client breaks the terms listed above.//REFUNDSIn the event of a cancellation by the Client, the following amounts shall be refunded:✦ Cancellation during the lineart stage: Sixty (60%) percent✦ Cancellation during the colouring stage: Thirty (30%) percent✦ Cancellation after the final work being turned in: Zero (0%) percentIn the event of a cancellation by the Illustrator, the Illustrator shall provide a full refund to the client of any payment that had been exchanged.In the event of a cancellation of either nature, the Illustrator shall own all rights to the Work, and the client will not be permitted to use said Work.Client agrees to not file a chargeback after the Artwork has been turned in. In the event of a chargeback, the Client loses all rights to any Artwork created, and Illustrator gains the right to full profit from said Artwork.Once the finished Work has been delivered, under no normal circumstances can refunds be offered to Client. If the Illustrator is unable to complete the project, Illustrator will offer a refund equal to the work incomplete and the Work completed up until that state, negotiated between Illustrator and Client.✦ Chargeback policy. Client agrees to not file a chargeback after the Work has been turned in. In the event of a chargeback, the Client loses all rights to any Work created, and Illustrator gains the right to full profit from said Work.

Client will receive runtime files to allow usage of the model in Vtube Studio or other Live2D tracking applications. They will NOT receive the source file, and no physical goods will be shipped✦ Rigger’s right to refusal. The Rigger reserves the right to refuse or discontinue a commission under abnormal circumstances. Upon the latter the client will be refunded. (Detailed in a later segment)✦Rigger's right to authorship credit. The Rigger may use Work in Rigger’s portfolio (including, but not limited to, any website or social media platform that displays Rigger’s works). During the duration of the Live2D model’s usage, authorship credit in the Alias (Chandeluka) or social media handle of the Rigger shall accompany the Work on the Client’s Twitch or Youtube About section, or on their website.✦ Artwork. Rigger agrees to not claim the creation of the artwork provided for the creation of Work, and that the following terms laid out are for the Live2D Rigging only.//Payments✦ Payment. Client agrees to pay the Rigger within ten (10) days of Illustrator’s billing. Overdue payments shall be subject to interest charges of one (1%) percent monthly and may be subject to cancellation at Rigger ’s discretion. Any finished Work shall be withheld until the full payment has been delivered.✦ Payment plan. The Rigger shall be given the first opportunity to make revisions requested by the Client. Client is entitled to unlimited free reasonable adjustments to the model up to 4 weeks after the project in completed. After that period of time, Rigger may charge an additional fee depending on the request of the adjustment.✦ Communication.
If Client does not respond to request for feedback within 7 days, Rigger has the right to continue at their own discretion. If Client ignores attempt at communication multiple times, after a month passes the project will result in the cancellation of the Work with no refund. The project may be picked up again at a later date, however Client will be placed lower on the work list and may need to wait until Rigger is free to pick up the Work again.//USAGE POLICY✦ Grants of right. If the total exceeds a certain amount a 50/50 plan may be discussed//REVISIONS✦ Once the sketch is approved, the Artist will not accept any more major changes (pose, composition, costume).✦There may be multiple wips until completion depending on the complexity of the request.Deadlines and Delivery✦ This is a digital product. No physical copies will be sent.
